The semiconductor industry is witnessing another major corporate deal. On November 2, 2026, Marvell Technology and Lumentum announced a definitive agreement under which Marvell will acquire Lumentum in an all-stock transaction.
Valued at approximately $115 billion in enterprise value, the deal предусматриes that Lumentum shareholders will receive 4.5 shares of Marvell stock for each share they own. Following the merger, existing Marvell shareholders are expected to own approximately 67% of the combined company, while Lumentum shareholders will hold the remaining 33%.
Behind this acquisition lies a major technological challenge: moving data efficiently across artificial intelligence infrastructure.
Marvell develops semiconductors, networking solutions and connectivity technologies. Lumentum brings recognized expertise in high-performance lasers, optical components and fiber-optic transmission systems.
These technologies are becoming increasingly important as data centers expand to accommodate thousands of processors dedicated to AI workloads. Traditional electrical connections are reaching certain limits in terms of bandwidth and power consumption. Optical solutions offer the ability to move significantly more data over long distances with greater efficiency.
Marvell intends to combine electrical and optical technologies within a single portfolio, with the ambition of becoming a key player in next-generation data center connectivity.
The transaction is expected to close in the first half of 2028, subject to regulatory approvals and shareholder consent.
